Lease Proposal for Bainbridge Marina and Store (August 2008)

The attached proposal is for the consideration of a joint partnership between The City of Bainbridge (Lessor) and William H. and Lynn L. Birdsong (Lessee) to lease the Bainbridge Marina. On June 24, 2008, William(Billy) and Lynn met to discuss the possibility of a lease contract with city officials. The following information hopefully will begin the process of an agreement. This proposal is written with the intent that this is the first negotiation tool.

Personal Background
William H. (Billy) and I (Lynn) have been life time Decatur County Citizens. Billy graduated from Bainbridge High School in 1969 and then attended Georgia Southwestern for 3 years with a major in business. He returned to Bainbridge in 1973 and began farming the family farm where he did so until 2004. In 1999 Billy and Lee Birdsong (son) established a business in transportation - Birdsong Trucking. In 2004 Billy began devoting his full attention to the trucking business. I (Lynn- Lane Birdsong) graduated from Bainbridge High School in 1972. I attended the University of Georgia in 1972/73. Billy and I were married in 1973. I began working at Memorial Hospital in 1974 and remained employed there until 1998. I have received the Associate of Science in 1978 in Secretarial Science and an Associate of Arts in Business Management in 2001 — both from Bainbridge College.

Action Plan

After taking the time for research, public conversations and individual thoughts, our action plan is described by the following objectives/activities.

Activity One

The first objective is of course to obtain the actual responsibilities to maintain the existing rental of the boat slips. At the beginning of this process we will introduce ourselves to the current occupants. Probably by having some type of activity in which we will all get together for .a social. It would be nice to begin having quarterly meetings with these members to absorb their suggestions. Communication between members is important in order to complete relationships. We probably need to .add some additional benefits in order to compete with current marinas in our areas.

Next, marketing, marketing, marketing! The Rental of boat slips is the majority of the revenue of the marina and it must be priority. We will advertise the available slips, advantages of the marina, etc. This should he done by adding a web page, email communication, and adds in local and surrounding newspapers. Also, the continuation of T-shirts, coolers, .and other items with the Bainbridge Marina and Deli on them is a great marketing tool. These would be sold in the Marina Store.

Activity Two

Along with Activity One, the operation of the Marina Store will be in process. We will purchase the store inventory that the City owns on day one. This should include foods, drinks, novelty items, boat oils and supplies, and any other items within the store for resale. We would like to work out a depletion plan with the city concerning the existing fuel remaining to sell. This plan would be that we sell your fuel for a percentage for handling. The percentage would be based on a handling fee and the bank fees charges for credit/debit card purchases. When this fuel inventory is depleted we will then assume this cost and revenue. This plan would be negotiated between ourselves and the city.

We are prepared to immediately submit an application for an Alcohol License. We have been licensed before in the State of Georgia and became somewhat familiar with the process when we leased the Handyway Food Store. The only decision that remains on this issue is whether the cafe will need on site consumption. We have undecided thoughts on this and would want the city's input. Items that would be added to the store inventory will be more fishing supplies, bait, life jackets, children's water toys, fountain drinks, coffee, and the beer and wine.

Activity Three

Last, the addition of a Deli. This will occupy the presently proposed area for a restaurant. This project will begin hopefully in the near future. Because of the necessary completion of this area, we feel it should be & phase-in project. This project will be a team effort between the city and ourselves. Plumbing, cabinets, sinks, flooring, appliances, and other permanent fixtures need to be completed. Our hopes are that the city will furnish these items and we will furnish all removable items such as (but not limited to) tables, chairs, steamers, outside grills, pots, pans, serving dishes, warmers, etc.

We believe that the best atmosphere for this deli restaurant will be keeping the Marina in mind. A suggested name is Ahoy's. The deli will specialize with a lunch menu of sandwiches, soups, stews, salads, and deserts being open from llam till 3pm Thursday through Sunday. We will also provide take-out "via bag lunches or picnic baskets. In addition to the daily lunch service, the current idea for the winter months of operation is to provide some type of rental of this space for small private parties, reunions, office meetings, church organizations and club functions. This space would be available from 5pm till 9pm Thursday through Saturday and 10am till 9pm Tuesday and Wednesday. Bainbridge is always looking for new places to hold small functions of this type especially during the holiday months — and the atmosphere is beautiful and pleasant. The renters would have the option of choosing from the deli menu or we will provide a catering company list for their choice. There are many such services in this area that we are sure would like to participate is this venture. Not only would this be good for the Marina but we will be providing a needed service to the community.

Hopefully this game-plan for the restaurant will be profitable. Of course, if the business grows we will design our schedule, food choice and hours to acquire the best return for us and the City of Bainbridge.

Management Plan

William (Billy) and Lynn will manage all aspects of the operation(s) of the Marina. We will provide and be responsible for all labor. We will communicate with the City Manager and Leisure Services with our plans and progress of all activities. Quarterly reports will be provided reporting revenues, cash flows, and profits.

Proposal Costs

Lessee will purchase all store inventory. (Fuel will be negotiated)
Lessee will cover the first $250.00 of all repairs. City will cover the balance.
Lessee will provide their own General Liability Insurance to include all of the Marina.
Lessee will provide their own business license, alcohol license and sales tax numbers.
Lessee will be responsible for electricity and water/sewer bills.
Lessee will pay the City of Bainbridge a 4.5% fee of Total Annual Receipts for the lease.
Lessee will promise to maintain the grounds of the Marina.
Lessee will provide all small equipment, food and supplies necessary for the deli.
